1. Acceptance of Terms

By accessing or using AllServiceMiami.com (the "Site") or any of our services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use our Site or services.

These Terms constitute a legally binding agreement between you and AllServiceMiami LLC ("AllServiceMiami," "we," "us," or "our"). We reserve the right to update these Terms at any time, as described in Section 13.

2. Description of Service

AllServiceMiami is an online contractor referral marketplace that connects homeowners and property managers ("Homeowners") with independent, licensed home service contractors ("Contractors") operating in Miami-Dade County and surrounding areas of South Florida.

Our service includes:

• Accepting and routing service requests submitted by Homeowners
• Matching Homeowners with up to three Contractors based on service type and location
• Facilitating initial contact between Homeowners and Contractors

AllServiceMiami is a referral platform only. We are not a contractor, do not perform any home services, and do not employ any Contractors listed on our platform. All Contractors are independent third-party businesses who have agreed to our Contractor terms and paid to receive referrals through our network.

3. User Eligibility

To use AllServiceMiami, you must:

• Be at least 18 years of age
• Be the owner, tenant, or authorized representative of the property at which services are requested
• Have the legal authority to enter into binding contracts in your jurisdiction
• Provide accurate and truthful information in your service request

By using our Site, you represent and warrant that you meet all of the above eligibility requirements. If you do not meet these requirements, you must not use our services.

4. Homeowner Responsibilities

As a Homeowner using AllServiceMiami, you agree to:

• Provide accurate, complete, and truthful information in every service request, including your name, contact information, property address, and project description
• Respond promptly to Contractors who contact you with quotes or questions
• Deal directly and honestly with Contractors throughout the quoting and hiring process
• Not submit duplicate or fraudulent service requests
• Not use our platform to collect Contractor contact information for any purpose other than obtaining legitimate home service quotes
• Not engage in any conduct that could harm AllServiceMiami's relationship with its Contractor network

5. Contractor Relationship

All Contractors accessible through AllServiceMiami are independent businesses, not employees, agents, partners, or joint venturers of AllServiceMiami LLC.

AllServiceMiami does not:

• Direct or control the work performed by Contractors
• Guarantee the quality, safety, timeliness, or legal compliance of any Contractor's work
• Make representations about any Contractor's skills, experience, or workmanship
• Serve as a party to any contract between a Homeowner and a Contractor

Any contract for home services is solely between you and the Contractor you choose to hire. AllServiceMiami LLC has no liability for the acts, omissions, errors, or misconduct of any Contractor. We strongly encourage you to independently verify a Contractor's license, insurance, and references before hiring them.

6. No Guarantee of Results

AllServiceMiami makes no guarantee that:

• You will receive quotes or responses from any number of Contractors
• Any Contractor will be available, qualified, or willing to perform your requested service
• The quotes you receive will be accurate, competitive, or within any particular price range
• Any work will be completed to your satisfaction or within any particular timeframe

Our platform is provided on an "as is" and "as available" basis. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.

7. TCPA Communications

By submitting a service request through AllServiceMiami, you expressly consent to receive autodialed calls, prerecorded messages, text messages (SMS/MMS), and emails from AllServiceMiami LLC and the Contractors in our network at the phone number and email address you provide, for the purpose of fulfilling your service request. This consent applies even if your number appears on a federal or state Do-Not-Call registry.

Standard message and data rates may apply to text messages. Message frequency varies based on your service request and Contractor responses. To opt out of SMS communications from AllServiceMiami, reply STOP to any text message. For help, reply HELP.

This consent is not a condition of purchasing any goods or services.

8. Prohibited Uses

You agree not to use AllServiceMiami for any of the following:

• Submitting false, misleading, or fraudulent service requests
• Scraping, harvesting, or collecting Contractor contact information for any commercial purpose
• Using automated tools, bots, or scripts to access or interact with our Site
• Spamming Contractors or other users
• Attempting to bypass our verification systems or impersonate another person
• Uploading or transmitting malware, viruses, or any harmful code
• Violating any applicable federal, state, or local law or regulation
• Using the Site in any manner that could disable, damage, or impair it or interfere with other users

Violations of these prohibited uses may result in immediate termination of your access to our services and may be reported to law enforcement authorities.

9. Intellectual Property

All content on AllServiceMiami.com — including text, graphics, logos, button icons, images, data compilations, software, and the overall look and feel of the Site — is the exclusive property of AllServiceMiami LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from this Site without the prior written consent of AllServiceMiami LLC.

10. Limitation of Liability

Our total liability to you for any claims arising from your use of AllServiceMiami shall not exceed one hundred U.S. dollars ($100.00). Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so these limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless AllServiceMiami LLC and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to our Site or services
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property right or privacy right
• Any fraudulent, false, or inaccurate information you provide through our platform
• Any dispute between you and a Contractor arising from a referral made through AllServiceMiami

12. Governing Law & Jurisdiction

These Terms and any dispute arising out of or related to your use of AllServiceMiami.com shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising from these Terms or your use of our services shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you hereby consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. When we make changes, we will update the "Last Updated" date at the top of this page and post notice on our Site. For material changes, we may provide additional notice such as a prominent banner on our homepage.

Your continued use of AllServiceMiami.com after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using our services.
